Community Governance Template

Land development projects self organize using a range of tools and legal structures. To align stakeholders, traditional legal entities such as Limited Liability Companies or Non Profit structures can be utilized alongside newer tools like Decentralized Autonomous Organizations (DAOs). While it is not necessary to establish a legal entity, it can often be advantageous if the goal is to acquire or hold real estate assets safely.

That being said, Plano offers a DAO organization template for use or reference using Aragon, a dApp for DAO formation and operation. This template is provided with an open source licence in order to foster further research and development by interested parties.

The organization template provides documents and tools to start a land development or planned community quickly. As such, it is an important onboarding tool for new communities.

Organization

This template is delivered with:

  • A legal repository of legal documents necessary to underpin a newly-forming Community DAO with a legal entity (either LLC or non profit). Included are documents for company formation, operating agreements, shareholder agreements, registered agent information for specific states, etc. The legal basis is provided by LexDAO.

  • Built in smart contracts for all the tools provided by Plano.

Constitution Generation

The template includes a tool that will generate a constitution for adoption by the DAO. This constitution document details ways that a new DAO can organize and address questions such as :

  • Membership - Who are the equity investors in the project and how is their membership documented.

  • Participation & Voting - Voting rules such as who can vote, what weight each vote has and what is required to carry a vote.

  • Contribution & Recognition - What qualifies a person as being a contributor, how bounties are assigned and how recognition is calculated.

  • Rewards - Determines rewards for contributors of labor (sweat capital).
